Tax-exempt hospitals have been, and will continue to be, the centerpiece of a national debate questioning the propriety of their tax-exempt status granted by the federal government. Recent compliance analysis has been intense and gone beyond merely collecting information on the amount of charity care provided by tax-exempt hospitals. Compliance analysis include such special projects as review by the IRS of hospitals governance, compensation practices and compliance with their community benefit obligations, community needs assessments and more. Final reports are still expected in many of these areas. The revised IRS Form 990 along with its many schedules are additional evidence of the added scrutiny and the extensive information gathering exempt hospitals are faced with, all aimed at assessing compliance and determining what, if any, further changes are needed. This focus is not going away and will, in fact, only increase. Each exempt hospital must be aware of its obligations and be able to effectively assess whether corrective steps are needed.
This series of programs will familiarize participants with five key areas of compliance. Participants will gain an understanding of the origins of the community benefit obligations and receive information on what are current requirements. Participants will be able to identify governance practices that help solidify exemption, learn what are considered best practices and be able to objectively look at what is going on in their organizations to determine if changes are needed. In addition, participants will receive information on what constitutes an excess benefit and learn what steps can be taken to position the hospital to qualify for a reputable presumption that a transaction is reasonable. A review of executive compensation and joint venture practices will be provided, all aimed at providing participants with the information to enable them to assess these transactions to limit risk to the hospitals exempt status.
